transi’on to the new energy economy, announces that it has mutually agreed with Zimtu
Capital Corp. (“Zimtu”) to terminate the mineral property op’on agreement dated January 12,
2026 (the “Op’on Agreement”), as announced on January 14, 2026.
The Op’on Agreement has been terminated pursuant to a mutual termina ’on and release
agreement entered into between the par’es. The decision to terminate the Op’on Agreement
was made as part of each party’s ongoing review of strategic priori’es and opportuni’es, and as
a result, the transac’ons contemplated under the Op’on Agreement will not proceed.
The Company confirms that no shares were issued, no cash or other considera’on was paid,
and the op’on was not exercised pursuant to the Op’on Agreement. Accordingly, no interest in
the Monument Peak project was transferred.
