GOLCAP ANNOUNCES AMENDMENT TO THE ACQUSITION OF AN ADVANCED GOLD

PROJECT PORTFOLIO IN FINLAND

Vancouver, B.C. – January 22, 2024 ‐ Golcap Resources Corp. (CSE: GCP) (the “Company” or “Golcap”)

announces that, further to its news release of June 17, 2024, the Company and NewPeak Metals Limited

have agreed to the issuance of 400,000 common shares in the capital stock of the Company at a deemed

price of $0.25 for total consideration of $100,000 whi ch represents partial payment of the cash portion of

$500,000 due to NewPeak under the terms of the acquisition. All other terms of the acquisition remain the

same. The share issuance is subject to approval by the Canadian Securities Exchange and all shares will be

subject to a four month hold period in accordance with applicable securities laws.
