Proposed Share Consolidation
Gabriel Resources Ltd. (TSXV: GBU - “Gabriel” or the “ Company”) is pleased to announce that its board of
directors (the "Board") has authorized a plan to proceed with a consolidation of its outstanding common shares
(each, a "Share") on the basis of ten (10) pre- consolidation Shares for each one (1) post -consolidation Share
(the "Consolidation").
The Consolidation is subject to approval of the TSX Venture Exchange (the " Exchange").
The Board believes that it would be in the best interests of the Company and its shareholders to effect the
Consolidation in order to facilitate future financing. The Consolidation may enhance the shares’ marketability as
an increase in the price per share has the potential to increase the interest of institutional and other investors in
the Company’s shares, thereby expanding the pool of investors that may consider purchasing the shares and
investing in the Company.
If the Consolidation is implemented, its primary effect would be to proportionately decrease the number of issued
and outstanding Shares by a factor equal to the consolidation ratio. At the close of business on December 19,
2024, the closing price of the Shares on the TSXV was $0.01 per Share, and there were 1,256,299,760 Shares
issued and outstanding. Based on the number of shares issued and outstanding on December 19, 2024,
immediately following the completion of the Consolidation, for illustrative purposes only, the number of post -
Consolidation Shares issued and outstanding would be 125,629,976 Shares.
The Company does not intend to change its name or its current trading symbol in connection with the
Consolidation. The effective date of the Consolidation will be announced in a subsequent news release.
No fractional Shares will be issued in connection with the Consolidation and the number of post -consolidation
Shares to be received by a registered shareholder will be rounded up, in the case of a fractional interest that is
0.5 or greater, or rounded down, in the case of a fractional interest that is less than 0.5, to the nearest whole
number of Shares that such holder would otherwise be entitled to receive upon implementation of the
Consolidation. The exercise price and number of common shares of the Company, issuable upon exercise of
any outstanding convertible securities will be proportionally adjusted upon the implementation of the
Consolidation.
The Company will provide a further update once it has received all applicable approvals and has set an effective
date for the Consolidation.

About Gabriel
Gabriel is a Canadian resource company listed on the TSX Venture Exchange. The Company’s principal business has been the
exploration and development of the Roșia Montană gold and silver project in Romania, one of the largest undeveloped gold deposits
