Global Battery Increases Private Placement for Proceeds of up to $1,050,000
Vancouver, British Columbia --(October 26, 2020) – GLOBAL BATTERY METALS LTD. (TSXV: GBML) (OTCQB: REZZF )
(Frankfurt: REZ) (the "Company" or "GBML") is pleased to announce that due to the high level of interest, it has increased the
size of its non-brokered private placement, as originally announced on October 21, 2020, (the "Offering") to now raise aggregate
gross proceeds of $1, 050,000 through the sale of 1 0,500,000 units ("Units") at a price of $0. 10 per Unit. Each Unit shall be
comprised of one common share and one common share purchase warrant (a "Warrant"). Each Warrant shall entitle the holder
thereof to acquire one common share at a price of $0.15 until the date that is twenty-four (24) months following the closing date
of the Offering. The closing of the Offering is anticipated to occur on or before November 5, 2020.
Any securities to be issued in connection with the Offering will be subject to a hold period of four months and one day from the
date of issuance. The Company may pay finder’s fees on a portion of the Offering, subject to compliance with the policies of the
TSX Venture Exchange and applicable securities legislation. The Offering remains subject to the approval of the TSX Venture
Exchange.
The net proceeds of the offering are expected to be used for project evaluation and general working capital. Certain insiders of
the Company may participate in the Offering. The subscription of Units to insiders pursuant to the private placement is
considered to be a related party transaction subject to Multilateral Instrument 61- 101. The Company intends to rely on
exemptions from the formal valuation and minority shareholder approval requirements provided under sections 5.5(a) and 5.7(a)
of Multilateral Instrument 61-101 on the basis that participation in the private placement by insiders will not exceed 25% of the
fair market value of the Company's market capitalization.
