Fireweed Announces Increase to Previously Announced Offering to

$12.5 Million

Vancouver, British Columbia : FIREWEED ZINC LTD. (“Fireweed” or th e “Company ”) (TSXV:

FWZ) is pleased to announce that it has entered into an amending agreement with a syndicate of agen ts

led by Haywood Securities Inc., and including Canaccord Genuity Corp. and GMP Securities L.P. (the

“Agents”), to increase the a mount of the private placement financing (the “ Offering”) from 3,810,000

common shares up to 5, 700,000 common shares of the Company (“ Common Shares ”) and up to

3,000,000 flow-through common shares of the Company (“ Flow-Through Shares”) at an issue price of

$1.32 per Common Share and $1.66 per Flow-Through Share, for aggregate gross proceeds to Fireweed

of up to $12,504,000.

The proceeds from the Offering will be used for exploration and development of the Company’s

Macmillan Pass Project in Yukon, Canada, and for general working capital purposes. The gross proceeds

from the issuance of Flow -Through Shares will be used to incur Canadian E xploration Expenses

(“CEE”), and will qualify as “flow-through mining expenditures” under the Income Tax Act (Canada),

which will be renounced to the purchasers of Flow -Through Shares with an effective date no later than

December 31, 2018 in an aggregate amount no less than the proceeds raised from the issue of the Flow-

Through Shares.

Closing of the Offering is expected to occur on or about February 27, 2018 and is subject to certain

customary conditions, including, but not limited to, the receipt of all necessary regulatory approvals and

acceptance of the TSX Venture Exchange. The Common Shares and Flow-Through Shares issued under

the Offering will be subject to a statutory hold period of four months plus a day following the date of

closing.
