F3 Announces Results of Annual and Special

Meeting

") is pleased to announce its shareholders voted

in favour of all items of business brought before them at the Company's Annual and Special Meeting of

Shareholders ("AGM") held in Kelowna on May 14, 2026.

Election of Directors

The number of directors was set by the Board at five, with Devinder Randhawa, Raymond Ashley, John

DeJoia, Terrence Osier, and Rebecca Greco re-elected to the Company's Board for the ensuing year.

Appointment of Auditor

Davidson & Company LLP

was re-appointed as the Company's auditor to hold office until the next

annual meeting of shareholders or until its successor is duly appointed, at a remuneration to be fixed by

the Board.

Approval of Stock Option Plan

The shareholders

approved the Company's 10% rolling incentive stock option plan and its Equity

Incentive Plan in accordance with the rules and policies of the TSX Venture Exchange ("TSX-V").

Approval of a proposed Share Consolidation

The Shareholders also approved a special resolution authorizing an amendment to the articles of the

Corporation to consolidate its outstanding Common Shares (the "

Share Consolidation

") on the basis

of

up to

40 pre-consolidation Common Shares for each one (1) post-consolidation Common Share.

The Share Consolidation will not be effective until all applicable filings

and disclosures are complete.

The Board reserves the right to revoke all or part of the articles of amendment at any time prior to their

becoming effective, or to not proceed with the filing of the articles of amendment at all.
