Vancouver, British Columbia – December 29, 2021 – Norseman Silver Inc. (TSXV:NOC) (“Norseman” or
the “Company”) is pleased to announce that, further to its press release of December 15, 2021, it has
closed the first tranche of its non-brokered private placement (the “Private Placement”) consisting of
1,683,334 flow through units (a “FT Unit”) at a price of $0.30 per FT Unit for gross proceeds of
$505,000.20. Each FT Unit is comprised of one common share of the Company (each, a “FT Share”) and
one half of one common share purchase warrant (each whole warrant, a “Warrant”). Each Warrant will
entitle the holder to purchase one additional non-flow-through common share in the capital of the
Company at an exercise price of $0.34 for a period of two years from the date of issuance. The FT
Shares will qualify as flow-through shares for purposes of the Income Tax Act (Canada).
The process proceeds of the Private Placement will be used for exploration on Norseman’s projects in
British Columbia, Canada, and for general working capital.
Finder’s fees of $28,000 cash and 93,333 Warrants have been paid in connection with the Private
Placement to qualified parties. The Warrants issued to the finders have an exercise price of $0.30 for a
period of two years from the date of issuance.
All securities issued are subject to a statutory four month and one day hold period from the date of
issuance pursuant to applicable securities laws of Canada.
