SAVILLE TERMINATES LETTER OF INTENT WITH HONG TA
Vancouver, B.C. – March 7, 2011 – The Company provides the following update relating to the proposed acquisition by the Company of all of the shares of Hong Ta Group (HK) Limited (“Hong Ta”).
The Company and Hong Ta entered into a Letter of Intent dated June 11, 2008 which contemplated the acquisition by the Company of all of the shares of Hong Ta by way of a share exchange or similar transaction (the Transaction) with the intended result that the Hong Ta shareholders would receive in the aggregate, that number of common shares of the Company as would equal 90% of the issued and outstanding shares of the Company on a fully diluted basis as of the closing of the Transaction and that Hong Ta would become a wholly owned subsidiary of the Company. The Letter of Intent contemplated that completion of the Transaction would be subject to, inter alia, the completion of satisfactory due diligence by each of the parties, preparation of audited financial statements by Canadian auditors of Hong Ta, the preparation of a Technical Report in compliance with Instrument 43-101 – Standards of Disclosure for Mineral Projects on the Jindoushan Gold Deposit located in Fuyuan County, Yunnan Province and owned by Hong Ta (the JGD Project), the preparation of an evaluation or appraisal of Hong Ta as may be required by Applicable Securities Laws and the approval of the Transaction by the Exchange.
The Company advises that the parties are unable to reach a final agreement on the value of the JGD Project and Hong Ta based on the inconclusive results of the draft, independent 43-101 Technical Report prepared for the JGD Project and the audit of Hong Ta, and have therefore mutually agreed to terminate the Letter of Intent and the contemplated Transaction. As part of a Termination/Settlement Agreement Hong Ta will pay to the Company the sum of $150,000 in cash as reimbursement to the Company for its legal and audit costs and expenses related to the preparation of the 43-101 Technical Report on the JGD Project, all of which were incurred by the Company in connection with the Transaction. In consideration of the cash payment, the Company will transfer, assign and deliver to Hong Ta all technical information, data and related material provided to Saville by the independent geological consultants retained by Saville in connection with the preparation of a technical report in compliance with NI 43-101 – Standards of Disclosure for Mineral Projects. Each of the Company and Hong Ta have agreed to mutual releases, each releasing the other from any and all claims arising from or related to the Letter of Intent and the Transaction.
ON BEHALF OF THE BOARD OF DIRECTORS OF SAVILLE RESOURCES INC.
