Deer Horn Announces Close of Private Placement
Vancouver, BC, Canada, June 2, 2020 – Deer Horn Capital Inc. (CSE: DHC) (the “Company” or “Deer
Horn”), announces that it has closed previously‐announced private placement and has issued 2,000,000
units for aggregate proceeds of $120,000. Each unit is comprised of one common share and one
common share purchase warrant, exercisable at $0.10 per warrant share for a period of two years.
Insiders of the Company participated in this private placement, which are considered related party
transactions as defined in Multilateral Instrument 61‐101 – Protection of Minority Security Holders in
Special Transactions (“MI 61‐101”). The Company relied on the exemptions from the formal valuation
and minority shareholder approval requirements of MI 61‐101 contained in sections 5.5(a) and 5.7(a),
respectively, of MI 61‐101 in respect of such insider participation.
