Deer Horn Announces 1st Tranche Close of Private Placement
and Completion of Debt Conversion Transaction
Vancouver, BC, Canada, February 19, 2020 – Deer Horn Capital Inc. (CSE: DHC) (the “Company” or “Deer
Horn”), announces that it has closed the first tranche of its previously‐announced private placement and
has issued 2,300,000 units for aggregate proceeds of $115,000. Each unit is comprised of one common
share and one common share purchase warrant, exercisable at $0.10 per warrant share for a period of
two years.
The Company has also completed its previously‐announced debt conversion transaction pursuant to
which it has issued 1,600,000 units at a deemed price of $0.05/unit to settle $80,000 debt. Each unit
consists of one common share and one common share purchase warrant exercisable at a price of
$0.10/share for a period of two years. The units were issued to insiders of the Company under the debt
settlements, which are considered related party transactions as defined in Multilateral Instrument 61‐
101 – Protection of Minority Security Holders in Special Transactions (“MI 61‐101”). The Company relied
on the exemptions from the formal valuation and minority shareholder approval requirements of MI 61‐
101 contained in sections 5.5(a) and 5.7(a), respectively, of MI 61‐101 in respect of such insider
participation.
