Freeport to Conduct Additional Private Placement

Vancouver, British Columbia – (June 26, 2020) – Freeport Resources Inc. (TSX-V: FRI)

(“Freeport”, or the “Company”) is pleased to announce that it will offer up to 13,333,333 units (each,

a “Unit”) by way of a non-brokered private placement, at a price of $0.30 per Unit, for gross proceeds

of up to $4,000,000. Each “Unit” will consist of one common share, and one-half-of-one common

share purchase warrant (each whole warrant, a “Warrant”). Each “Warrant” is exercisable to acquire

an additional common share of the Company, at a price of $0.40, for a period of eighteen months,

subject to accelerated expiry in the event the closing price of the common shares of the Company

on the TSX Venture Exchange is greater than $0.80 for five consecutive trading days.

The Company intends to allocate the proceeds of the placement to its ongoing review of potential

strategic acquisition opportunities, and for general working capital purposes. In the event the

Company elects to proceed with an acquisition opportunity, a portion of t he proceeds of t he

placement will be used to complete the acquisition.

In connection with completion of the placement, the Company may pay finders’ fees to eligible parties

that assisted in introducing subscribers to the Company. All securities to be issued in connection

with the placement will be subject to a four-month-and-one-day statutory hold period in accordance

with applicable securities laws. Completion of the placement remains subject to approval of the TSX

Venture Exchange.
