Ottawa, ON – Focus Graphite Advanced Materials Inc. (TSX.V: FMS | OTCQB: FCSMF | FSE: FKC0) (“Focus” or
the “Company”), is pleased to announce it has closed a non-brokered flow through private placement (the
"Flow Through Offering") for total gross proceeds of $200,000.00.
As part of the Offering, the Company issued 1,250,000 common shares on a flow-through basis (the "Flow-
Through Share") at a price of $0.16 per Flow-Through Share. The securities issued in connection with the
closing of the Flow Through Offering are subject to a four-month hold period expiring on November 3, 2025.
In connection with the closing of the Offering, the Company paid a cash finder's fee totaling $12,000 and
issued 75,000 warrants (the "Finder Warrants"). Each Finder Warrant entitles the finder to purchase one (1)
common share at a price of $0.22 per common share until July 2, 2026.
The net proceeds of the Flow-Through Offering will be used to support the Company's exploration initiatives
on its mineral assets.
The Offering is subject to the final approval of the TSX Venture Exchange.
