CHESSTOWN CAPITAL INC. SHAREHOLDERS APPROVAL ON NEX
Burlington, Ontario, June 14, 2010
Chesstown Capital Inc. (“Chesstown” or the “Corporation”), a capital pool company, held its annual and special meeting of shareholders on June 11th, 2010. During the meeting the shareholders received the audited financial statements for the fiscal year ended June 30, 2009 in addition to passing the following resolutions:
- the re-appointment of Grant Thornton LLP as the Corporation’s auditor and to authorize the directors to fix their remuneration;
- the renewal of the Corporation’s incentive stock option plan;
- to authorize the Corporation to become listed on the NEX in the event that the Corporation does not complete a qualifying transaction by the deadline imposed by the TSX Venture Exchange, which is currently June 30, 2010;
In addition to the above, the shareholders re-elected Mr. Peter Clausi, Mr. Brian Crawford, Mr. Jeffrey Wood, Mr. Michael Gerrior and Mr. Kenneth Dube as directors of the Corporation.
Completion of a qualifying transaction (as that term is defined in the policies of the TSX Venture Exchange) is subject to a number of conditions, including but not limited to, Exchange acceptance.
