PRIVATE PLACEMENT 1st TRANCHE
Green Battery Minerals Inc. (the “ Company”) (TSX-V: GEM, FSE: BK2P, WKN: A2QENP OTC: GBMIF)
announces it has closed a 1st tranche of its flow-through private placement to raise total proceeds of $550,000. A total
of 7,857,357 flow-through units (the “Units”) have been subscribed for at a price of $0. 07 per Unit, each Unit
consisting of one (1) common share and one -half (1/2) warrant exerciseable for three years at $0.10, subject to the
right to be accelerated by the Company in the event that its shares trade at or above $0.25 for a period of 10 consecutive
days. In such case of accelerated warrants, the Company may give notice, in writing or by way of news release, to
the holders that the warrants will expire 30 days from the date of providing such notice. The Company will now
apply to the TSX to issue the securities. The securities to be issued will have the required four month plus one day
hold period from issuance.
The Company has agreed to pay cash finder fee’s of $44,001.20 and issue 628,588 finder warrants.
Proceeds of the private placement will be used for working capital and continued exploration on the Company’s
properties.
