March 3, 2023 – Green Battery Minerals Inc. (TSX.V: GEM) (the “Company”) is announcing the grant of stock
options and Share Units to board members, management and consultants/advisors as part of a long-term incentive
program in accordance with the Company’s 2022 Omnibus Share Incentive Plan adopted at the Annual General
Meeting held on August 24, 2022.
Grants under the 2022 Omnibus Share Incentive Plan - The Company has approved the grant of 1,000,000
Share Units and 495,000 stock options.
Share Units: Each vested Share Unit may be redeemed for one fully paid and non-assessable common share of the
Company issued from treasury and vest on March 1, 2024, calculated using a price of $0.09 per common share.
Stock options: Stock options are granted with a five year term at an exercise price of $0.09.
The 2022 Omnibus Equity Incentive Plan’s objective is to create an incentive compensation program that is aligned
with the Company’s long-term objectives. Stock options and Share Units are granted in accordan ce with Policy
4.4 – Security Based Compensation of the TSX Venture Exchange (the “Exchange”) and the terms and conditions
of the 2022 Omnibus Share Incentive Plan.
The Company also advises that it did not proceed with the granting of stock options announced January, 2023.
