PRIVATE PLACEMENT
August 6, 2025 – VANCOUVER, BC - First Canadian Graphite Inc. (the “Company”) (TSX-V: FCI Frankfurt:
BR20) announces it has received TSX Venture Exchange approval to close a 2nd and final tranche of its financing as
to $204,000 and issue 2,550,000 units @ $0.08 per unit. Each unit consist s of one common share and one warrant
exerciseable at $0.10 for three years. The proceeds of the private placement will be used for working capital. A cash
finder’s fee of $1,800 has agreed to be paid.
The Company was successful in closing 2 tranches with proceeds of $373,800.
All securities to be issued will be issued with the required four month plus one day hold expiring December 7, 2025.
The Company confirms there are no material facts or material changes related to the Company which has yet to be
generally disclosed.
Two insiders of the Company subscribed for an aggregate of 850,000 Units. As such, this participation constitutes a
“related party transaction” as defined under Multilateral Instrument 61 - 101 Protection of Minority Security Holders
in Special Transactions (“MI 61 -101”). Such participation is exempt from the formal valua tion and minority
shareholder approval requirements of MI 61-101, as neither the fair market value of the Units acquired by the insider
nor the consideration for the Units paid by such insider exceeds 25% of the Company’s market capitalization. The
Company did not file a material change report 21 days prior to the closing date of this private placement as details of
the respective participation of such insiders in the Offering was unknown at such time. In addition, a new insider
position was created through the participation in the private placement wherein the investor subscribed for 750,000
Units.
Acquisition of Units - Brahma Communications Corp.
Brahma Communications Corp., a company wholly owned by Thomas Yingling, the President and a Director of the
Company (the “Acquiror”) has subscribed for 600,000 units at $0.08. Prior to this subscription, the Acquiror held
directly or indirectly, 2,113,069 common shares and 2,570,269 warrants/options. As a result of closing this 2nd
tranche, the Acquiror will hold directly or indirectly 2,713,069 common shares representing approximately 10.75 %
of the Company’s issued and outstanding common shares (25,219,941). In addition, on closing the 2 nd tranche, the
Acquiror will exercises control and direction over an additional 3,170,269 warrants/options. If the Acquiror exercised

his warrants /options only he would hold directly and indirectly 5,883,338 common shares of the Company,
representing 20.72% the issued and outstanding shares of the Company on a partially diluted basis assuming the
Acquiror exercises his warrants/options only.
The units were acquired for investment purposes. This investment will be reviewed on a continuing basis by the
Acquiror, and such holdings may be increased or decreased in the future. The Acquiror may in the future acquire or
dispose of the units through the open market, privately or otherwise, as circumstances or market conditions warrant.
The Acquiror will file an early warning report pursuant to National Instrument 62- 103F1 (the Early Warning System
and Related Take- Over Bid and Insider Reporting Issues) describing the above transaction with the applicable

Acquisition of Units – Robert Craig Barton
Robert Craig Barton ( “Barton”) has subscribed for 750,000 units at $0.08. Prior to this subscription, Barton held
directly or indirectly, 2,112,500 common shares and 2,112,500 warrants. As a result of closing this 2nd tranche, Barton
will hold directly or indirectly 2,862,500 common shares representing approximately 11.13% of the Company’s issued
and outstanding common shares ( 25,219,941). In addition, on closing the 2 nd tranche, Barton will exercise control
and direction over an additional 2,862,500 warrants. If Barton exercised his warrants only, he would hold directly
and indirectly 5,725,000 common shares of the Company, representing 20.38% the issued and outstanding sha res of
the Company on a partially diluted basis assuming the Acquiror exercises his warrants /options only.
The units were acquired for investment purposes. This investment will be reviewed on a continuing basis by the
Barton, and such holdings may be increased or decreased in the future. Barton may in the future acquire or dispose
of the units through the open market, privately or otherwise, as circumstances or market conditions warrant.
