Berkwood Resources Ltd. (“Berkwood”) (TSX-V: BKR) discloses that further to its press release dated May 26, 2017
wherein the Company announced the closing if its private placement, the Company advises that in addition to relying
upon other available prospectus exemptions to effect the private placement, a portion of the private placement will be
completed in accordance with the exemption set out in BC Instrument 45 -536 (Exemption from prospectus
requirement for certain distributions through an investment dealer) . The Company also confirms there is no material
fact or material change related to the Company which has not been generally disclosed .
The Company closed $1,599,739.18 and has issued 6,152,843 units at $0.26 per unit. Each unit is comprised of one
common share and one share purchase warrant, with each whole warrant exercisable into one common share at a price
of $0.35 for a period of two years from closing. Insiders participated as to 626,923 units ($162,999.98).
The securities have now been issued having a hold period September 27, 2017.
PI Financial Corp. has been paid a finder’s fee of $7,384 cash and 28,400 Warrants and Gravitas Securities Inc. has
been paid a finder’s fee of $33,300.80 cash and 128,080 Warrants. The finder fee warrants are exercisable for two
years at $0.35.
Proceeds of the private placement will be used to develop existing properties, potential future acquisitions and general
working capital.
