Berkwood Resources Ltd. (“Berkwood”) (TSX -V: BKR) is pleased to announce that it has closed its private
placement as to $1,599,739.18 and will issue 6,152,843 units at $0.26 per unit. Each unit is comprised of one common
share and one share purchase warrant, with each whole warrant exercisable into one common share at a price of $0.35
for a period of two years from closing. Insiders participated as to 626,923 units ($162,999.98).
The securities have now been issued having a hold period September 27, 2017.
PI Financial Corp. has been paid a finder’s fee of $7,384 cash and 28,400 Warrants and Gravitas Securities Inc. has
been paid a finder’s fee of $33,300.80 cash and 128,080 Warrants. The finder fee warrants are exercisable for two
years at $0.35.
Proceeds of the private placement will be used to develop existing properties, potential future acquisitions and general
working capital.
