SHARES FOR DEBT AGREEMENT SIGNED

Earthworks Industries Inc. (the “Company”) has signed an agreement with an arms -length creditor to

settle indebtedness of $56,200 owing to the creditor by issuance to it of 750,000 common shares at a

price of $0.075 per share. The agreement is subject to acceptance by the TSX Venture Exchange.
