SHARE FOR DEBT AGREEMENT ACCEPTED

Earthworks Industries Inc. (the “Company”) reports that TSX Venture Exchange has accepted the

share for debt agreement and issuance of 750,000 common shares to settle indebtedness of

$56,200 with an arms -length creditor, announced in our News Release dated September 17,

2025.
