PROPOSED EXTENSION OF WARRANTS EXERCISE DATE

Earthworks Industries Inc. (the “Company”) is applying to the TSX Venture Exchange for approval

of the extension, by one year, of 2.3 million share purchase warrants. The warrants were issued

September 21, 2022 , with an expiry date of September 21, 2024. With exchange approval the

expiry date was extended to September 21, 2025. Each warrant is exercisable to purchase one

share in the capital of the Company for $0.30.

The proposal is to extend the deadline for the exercise of the warrants by one year, from

September 21, 2025, until September 21, 2026.
