with Lead Participation from Commodity

Vancouver, British Columbia--(Newsfile Corp. - February 25, 2026) - Eastport Critical Metals Corp.

(TSXV: EVI) ("

Eastport

" or the "

Company

") is pleased to announce it has closed its previously

announced non-brokered private placement (the "

Offering

"). The Company has raised $2,000,000

consisting of 2,500,000 units (each, a "

Unit

") at a price of $0.80 per Unit. Each Unit consists of one

common share in the capital of the Company (a "

Common Share

") and one Common Share purchase

warrant (a "

Warrant

"). Each Warrant is exercisable into one Common Share at a price of $1.00 per

Warrant for a period of three years from the date of issuance, subject to adjustment in certain events.

The Company intends to use the proceeds of the Offering for exploration and development activities at

the Company's projects in Botswana and for general working capital purposes.

All securities issued with respect to the Offering are subject to a hold period of four months and one day

from the date of issuance in accordance with applicable securities laws. Closing of the Offering remains

subject to final approval from the TSX Venture Exchange (the "

"). No finders fees were paid in

connection with the Offering.
