Evergold Announces Proposed Share Consolidation

Toronto, Ontario – October 7, 2025 - Evergold Corp. (TSX-V: EVER, WKN: A2PTHZ) (“Evergold” or the “Company”)

announces that, further to its news release of September 15, 2025, it intends to complete a consolidation of its outstanding

common shares (the “Shares”) on the basis of ten (10) pre-consolidation Shares for one (1) post-consolidation Share (the

“Consolidation”), in connection with the option granted to the Company to acquire the Copper King inlier claims to its

Golden Lion property in the Toodoggone region of British Columbia.

Prior to giving effect to the proposed Consolidation, the Company has 120,075,696 pre-Consolidation Shares issued and

outstanding. Following the Consolidation, the Company will have approximately 12,007,569 post -Consolidation Shares

issued and outstanding. No fractional Common Shares will be issued upon the Consolidation. In the event a holder of

Common Shares would otherwise be entitled to receive a fractional Common Share in connection with the Consolidation,

the number of Common Shares to be received by such shareholder will be rounded down to the next whole number and

no cash consideration will be paid in respect of fractional shares.

It is currently expected that the Consolidation (which will also affect all outstanding options and warrants of the Company)

will be effected on October 17, 2025 with a record date of October 16, 2025. Completion of the Consolidation is subject to

the receipt of all necessary regulatory approvals, including the approval of the TSX Venture Exchange. The Company will

not be changing its name or stock symbol in connection with the Consolidation.

A letter of transmittal will be mailed to registered shareholders providing instructions with respect to surrendering share

certificates representing pre -Consolidation Shares in exchange for post -Consolidation Shares issued as a result of the

proposed Cons olidation. Until surrendered, each certificate representing pre -Consolidation Shares will be deemed to

represent the number of post-Consolidation Shares the holder received as a result of the Consolidation. Shareholders who

hold their Shares in brokerage accounts or in book-entry form are not required to take any action. Outstanding securities

convertible or exercisable into Common Shares will also be adjusted by the Consolidation ratio, and the exercise price of

such securities will be adjusted accordingly.
