Eagle Plains Announces Financing
Cranbrook, BC; February 7th, 2018 : Eagle Plains Resources Ltd. (TSX-V:EPL), (the ”Comp any”)
announces that the Company intends to complete a non-brokered private placement to arms-length and
non arms-length investors. Application will be file d with the TSX Venture Exchange (TSX-V) to sell up
to 2,000,000 non-flow-through units at a price of $ .20 CDN per unit, for gross proceeds of $400,000
CDN. Each unit will consist of a non-flow-through c ommon share and a full non-flow-through common
share purchase warrant, each whole warrant exercisable at $.40 CDN for a 24 month period.
The Company will also offer up to 2,225,000 flow-th rough units at a price of $.24 CDN per unit, each
unit consisting of a flow-through common share and a non-flow-through common share purchase
warrant, each whole warrant exercisable at $.40 CDN for a 24 month period. Proceeds of this offering
are expected to be approximately $534,000 CDN.
Directors of the Company have approved an overallot ment of up to 10% of both the flow-through and
non-flow-through units.
The common share purchase warrants are subject to a n accelerated expiry at the option of the Company
if the published closing trade price of the common shares on the TSX Venture Exchange is greater than
or equal to $.50 for any 20 consecutive trading day s, in which event the holder may be given notice th at
the warrants will expire 30 days following the date of such notice. The common share purchase warrants
may be exercised by the holder during the 30 day pe riod between the notice and the expiration of the
common share purchase warrants.
A 7% commission or finders fee may be paid to regis tered dealers or arms-length third parties involved
in the financing. The financing is expected to close in early February, 2018.
Maximum gross proceeds of the offering are expected to be $1,027,400 CDN (including 10% over-
allotment if warranted). Proceeds from the sale of units will be used to fund exploration of the
company's various projects in British Columbia, Sas katchewan, and Yukon and for general working
capital. Certain funds will also be allocated to co ver expenses related to the proposed spin-out of Ta iga
Gold Corp. (details below). Funds earmarked for exp loration will qualify as Canadian exploration
expenses as defined in the Income Tax Act and will be renounced for the 2018 taxation year.
Proposed Plan of Arrangement-Taiga Gold Corp.
As announced on October 23 rd , 2017, Eagle Plains intends to spin out specific S askatchewan gold
exploration properties in the Seabee/Santoy area of Saskatchewan, including the Fisher project. Eagle
Plain’s shareholders will receive shares of Taiga Gold Corp. (“Taiga”) on a 2:1 basis (1 share of Taiga
for each 2 shares of Eagle Plains) through a plan of arrangement expected to be completed in early 2018.
Pending regulatory and shareholder approvals, share s of Taiga are expected to be listed on the CSE
under the symbol “TGC” in late April.

the advancement of numerous projects at various stages of development.
