ELEMENT ONE COMPLETES WARRANT PRIVATE PLACEMENT

& COMPLETES FIRST STONE TO H2 ISSUANCE

Vancouver, B.C. — August 9, 2026 – Element One Hydrogen & Critical Minerals Corp. (“ Element

One ” or the “ Company ”) ( CSE: EONE) is pleased to announce that it has completed its pr ivate

placement of three million warrants for total gross proceeds of $150,000 (the “Offering”).

The Company has allocated and issued three million warrants (the “Warrants”) at a price of $0.05 per

Warrant. Each Warrant entitling the holder to acquire one common share at an exercise price of $0.25 for

a period of twelve (12) months from the closing date.

All securities issued under the Offering will be subject to a hold period of four (4) month plus a day. There

were no finders’ fees involved with the Offering.

The gross proceeds of the the private placement will be used for ongoing research, marketing and general

and administrative expenses.

The Company is also pleased to announce that, furth er to its press release of February 10, 2026, it ha s

made the first issuance of shares pursuant to the Definitive Agreement with Stone to H2, Inc. The shares

issued pursuant to the Definitive Agreement will be subject to a hold period of four (4) month plus a day.

Further, the Company announces a non-brokered private placement to raise up to $250,000 through the

sale of up to 2.5 million units of the Company at an issue price of 10 cents per LIFE (listed issuer financing

exemption) unit (each a “LIFE Unit”) on a best effo rt basis. Each LIFE Unit shall consist of one commo n

share in the capital of the Company and one share purchase warrant. Each warrant issued under the LIFE

offering shall entitle the holder thereof to acquir e an additional common share at a price of 20 cents for

a period of 36 months from the date that is 61 days following the closing date of the LIFE offering.

Element One is issuing this financing at the reques t of key investors and the proceeds will be used to

advance its work with Columbia University on hydrog en generation and critical mineral extraction from

ultramafic sources, field exploration preparation and general corporate expenses.

The LIFE Units will be offered for sale: (i) by way of a private placement pursuant to the listed issu er

financing exemption under Section 5A.2 of National Instrument 45-106, Prospectus Exemptions, as

amended and supplemented by Coordinated Blanket Order 45-935 (Exemptions from Certain Conditions

of the Listed Issuer Financing Exemption) in British Columbia, Alberta and Ontario; (ii) in the United States

pursuant to an exemption from the registration requ irements of the U.S. Securities Act of 1933, as

amended, and applicable U.S. state securities laws; and (iii) in jurisdictions outside of Canada and t he

United States as mutually agreed to by the company and the lead agent, provided it is understood that no

prospectus filing, registration or comparable oblig ation arises in such other jurisdiction. The securi ties

issued under the LIFE will not be subject to a stat utory hold period pursuant to applicable Canadian

securities laws.
