Eminent Gold Corp. Announces Private Placement
VANCOUVER, British Columbia, Aug. 16, 2024 -- Eminent Gold Corp. (TSX-V: EMNT) (the “Company”) is
pleased to announce a non-brokered private placemen t (the "Offering") for up to $1,300,000. Pursuant
to the Offering, if fully subscribed to, the Company will issue 5,000,000 units at a price of $0.26 per unit.
Each unit will consist of one co mmon share of the Company and on e common share purchase warrant
(the “Warrant”) exercisable to acquire one common sh are at a price of $0.55 for a period of 24 months.
After 4 months from closing, if the closing price of the common shares is at a price equal to or greater
than $1.00 for a period of ten consecutive trading da ys, the Company will have the right to accelerate
the expiry date of the Warrants by giving notice, via news release, to the holders of the Warrants that
the Warrants will expire on the date that is 30 da ys after the issuance of said news release. The
proceeds of the private placement are for the Compan y's general working capital, payment of property
holding costs and for exploration activities. Closing of the private placement is subject to the approval of
the TSX Venture Exchange and the Company may pay finders fees upon closing of the Offering.
The private placement will be conducted in relianc e upon certain prospectus and private placement
exemptions. The securities issued under the private placement will be subject to a hold period expiring
four months and one day after the closing date. The common shares have not been and will not be
registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the
United States absent registration or an applicable exemption from the registration requirements. This

any sale of the common shares in any jurisdiction in which such offe r, solicitation or sale would be

Further to the Company’s news release, in accordance with the policy of the TSX Venture Exchange, the
Company advises that, in addition to the options granted to the Company’s Head of Communications
Michael Bebek, Mr. Bebek is paid a monthly fee of $15,000 per month.
