EDISON ARRANGES PRIVATE PLACEMENT

Vancouver, British Columbia – May 27, 2021 – Edison Cobalt Corp (“Edison Cobalt” or the "Company")

(TSX-V: “ EDDY”) announces it has closed the previously anno unced (05-18-21) non-brokered private

placement for aggregate gross proceeds of $1 08,000 through the issuance of 800,000 units at a price of

$0.135 per unit.

Each unit consist ed of one common share and one warrant. Each warrant entitle the holder to acquire

one common share of the company at a price of $0.18 per common share for a period of 24 months

following the date of issuance.

In connection with the Offering, the Company paid finders' fees of $7560.00 in cash and issue d 56,000

finders warrants. The Finders' Warrants have the same terms as the warrants forming part of the above

units.

All securities to be issued pursuant to the above private placement are subject to a four -month hold

period expiring on September 29, 2021, in accordance with applicable securities legislation. Proceeds of

the private placement will be used for work on the Company's mineral properties and general working

capital.
