Notice of Claims

Langley, BC. December 28, 2023 - D2 Lithium Corp. (the “Company”) (TSX-V: DWTO)

(OTCQB: DTWOF) reports that five claims have been filed by former directors

and contractors totaling approximately $1.2 million. The basis of the $1.2 million

legal claims against the Company relates to management agreements and

contractor contracts which have not received acceptance from the TSX Venture

Exchange or approved by the Company’s Board of Directors.

D2 Lithium views these claims to be without merit. Management has been in

active negotiations to have these claims discontinued without costs – with the

result, no defense has been filed to date.
