Arianne Phosphate (the "Company" or

"Arianne")

(TSXV: DAN) (OTC: DRRSF) (FRANKFURT: JE9N), a development-stage phosphate

mining company, advancing the Lac à Paul project in

Quebec's

Saguenay-Lac-Saint-Jean region,

has closed its previously announced bought deal private placement offering (the

"Offering"

) of

11,500,000 units of the Company (each, a "Unit") issued at

$0.50

per Unit (the

"Issue Price"

) for

gross proceeds of

$5,750,000

.

Each Unit is comprised of one common share of the Company and one-half of one transferable

common share purchase warrant (each whole warrant, a

"Warrant"

). Each Warrant entitles the

holder thereof to acquire one additional common share of the Company (a

"Warrant Share"

) at an

exercise price of

$0.71

per Warrant Share for a period of 24 months following the closing of the

Offering.

PI Financial Corp. acted as lead underwriter (the

"Lead Underwriter"

) in connection with the

Offering with a syndicate including Red Cloud Securities Inc. (together with the Lead Underwriter,

the

"Underwriters"

).

As consideration for the services provided by the Underwriters in connection with the Offering, the

Underwriters received: (a) a cash commission equal to 6% of the gross proceeds of the Offering

(reduced to 1% for certain subscribers on the president's list (the

"President's List"

)); and (b) that

number of non-transferable compensation warrants (the

"Compensation Warrants"

) as is equal to

6% of the number of Units issued under the Offering (reduced to 1% with respect to certain

subscribers on the President's List). Each Compensation Warrant is exercisable to acquire one

common share of the Company at the Issue Price for a period of 24 months following the closing of

the Offering.

The net proceeds from the Offering will be primarily used to fund development expenses for the Lac

à Paul Project, and for general working capital purposes.

All securities issued in connection with the Offering are subject to a statutory hold period in

Canada

expiring four months and one day from the closing of the Offering. The Offering remains subject to

final acceptance of the TSX Venture Exchange.
