Collective Mining Files Final Base Shelf Prospectus

Toronto, Ontario, November 10, 2021 – Collective Mining Ltd. (TSXV: CNL) (“Collective” or the

“Company”) is pleased to announce that it has filed a final short form base shelf prospectus (the “Shelf

Prospectus”) with the securities regulatory author ities in each of the provinces and territories of

Canada (other than Québec), following the completion of a regulatory review of the preliminary base

shelf prospectus of the Company filed on October 5, 2021.

The Base Shelf Prospectus filings will permit t he Company to make offeri ngs of common shares,

warrants, subscription receipts, units or debt securities, or a combination thereof (the “Securities”), up

to an aggregate total of C$100 million during the 25- month period that the Base Shelf Prospectus

remains effective until December 2023. Securities may be offered in amounts, at prices and on terms

to be determined based on market condi tions at the time of sale and set forth in one or more shelf

prospectus supplement(s). Information regarding the us e of proceeds from a sale of any Securities

will be included in the applicable prospectus supplement(s).

“While we do not have any financing requirements in the near term as our current cash balance of

approximately C$23 million comfort ably funds our planned drilling program through 2022, the base

shelf prospectus affords the Com pany with flexibility to take advantage of attractive financing

opportunities over the next 25 months”, commented Ari Sussman, Executive Chairman.
