CMP Mining Announces Related-Party Promissory Note

Vancouver, B.C. – January 2 2, 2026 – CMP MINING INC. (“CMP” or the “ Company”) (CSE: CMP)

announces that it has received a loan from a director and senior officer of the Company, pursuant to which the

Company issued a promissory note in the principal amount of CAD $15,000.

The promissory note bears interest at a rate of 9% per annum, calculated daily, with all accrued interest payable

together with the principal amount payable upon demand. The promissory note is unsecured. The proceeds of the

loan will be used for general working capital purposes.

The loan constitutes a “related-party transaction ” pursuant to Multilateral Instrument 61 -101 – Protection of

Minority Security Holders in Special Transactions (“MI 61-101”). The Company is relying on the exemptions from

the formal valuation and minority shareholder approval requirements in MI 61-101, on the basis that the fair market

value of the loan does not exceed 25% of the Company’s market capitalization, and will not result in a change of

control of the Company.
