China Gold International Provides Clarification to the News Release
dated 29 June 2022 Reporting Results of its Annual General
and Special Meeting of Shareholders
VANCOUVER, August 5, 2022 - China Gold International Resources Corp. Ltd. (TSX:
CGG; HKEx: 2099) (the “ Company” wishes to clarify the news release (the “News
Release”) disseminated by the Company on June 29, 2022 in relation to the poll
results of the annual general and special meeting (the “ Meeting”) of shareholders of
the Company. Unless the context requires otherwise, terms used in this clarification
shall have the same meanings as defined in the circular of the Meeting dated 7 June
2022 and the News Release.
The number of votes was incorrectly stated in the News Release due to the error in
the scrutineer’s certificate, upon which the poll result is based. The Company has
received the revised scrutineer’s certificate with the correct number of votes per
resolution. The number of shares voting for, against and withheld the resolutions
should be as follows:

Although there was an error in the number of votes stated in the News Release, all
resolutions were duly passed. The disclosure error in the number of votes in all
resolutions has not affected the voting results.

unchanged. This clarification is supplemental to and should be read in conjunction with
the News Release.
