Xander Resources Inc. Announces Appointment of

New Director and Chief Financial Officer

Xander Resources Inc. (TSX‐V: XND) (the “Company”) is pleased to announce the appointment

Mr. Rodney Ireland as a director. Mr. Ireland brings a wealth of experience in the small cap space.

Previous experience includes Board positions with Vanadium One, including the Chair of the Audit

Committee and the Board of Forrester Metals, which was taken over by Zinc One. “I am looking forward

to working with the current Board members and associates of the Company and helping in developing a

critical path to success that will be of benefit to the shareholders", states Mr. Ireland.

The appointment of Mr. Ireland filled the vacancy created by the prior resignation of Bryce Clarke as

director of the Company on March 2, 2020.

The Company is also pleased to announce the appointment of Mr. James, Fairbairn as Chief Financial

Officer of the Company, effective April 13, 2020. The appointment of Mr. Fairbairn filled the vacancy

created by the prior resignation of Bryce Clarke as interim Chief Financial Officer on March 2, 2020. The

Company wishes to thank Mr. Bryce Clarke for his contribution to the Company for past service as both

interim CFO and director.

Mr. James Fairbairn has over 30 years of experience in accounting, financial management, corporate

finance and mergers & acquisitions. In addition to his executive management experience, he is well

acquainted with key corporate governance issues having served on numerous boards of both public and

private companies. Mr. Fairbairn graduated from the University of Western Ontario (BA) and is a

Chartered Professional Accountant (CPA, CA 1987), in addition to having obtained the ICD.D designation

from the Institute of Corporate Directors (ICD.D).

The Company also announces the appointment of Dwayne Yaretz as Corporate Secretary effective

April 13, 2020. Mr. Yaretz has been with the Company since October 25, 2017, serving as a director and

since October 17, 2018 serving as CEO of the Company.
