Xander  Resources  Inc. Announces  Creation  of Advisory  Board  and Grant  of Options  

Xander Resources Inc. (TSX‐V: XND) (the “Company”) is pleased to announce the creation of an 

Advisory  Board.  The  Advisory  Board  will  advise  the  Company  from  time  to  time  on  issues  as 

requested by the Company, including providing strategic advice on the direction and strategy of 

the Company, advising and assisting with business development by and for the Company, and 

facilitating introductions between the Company and third parties who may be in a position to 

assist in furthering the goals of the Company.

The Company is pleased to announce the appointment of Mr. Sean Finegan and Mr. Chris Titzer 

as the first members of its Advisory Board, who are appointed to assist the Company with its 

identification  and  evaluation  of  potential  business  opportunities  outside  the  Company’s  core 

business of mineral exploration.

Mr. Finegan has over 30 years of experience in multiple areas of sales and marketing across the 

security industry. In various roles, he has rapidly increased revenue and profitability by utilizing 

expertise  for  lead  generation,  product  positioning,  deep  vertical  knowledge,  and  extensive 

relationships with distributors and integrators. Mr. Finegan has a history of successful sales to 

commercial  clients  such  as  Microsoft,  Micron  Technologies,  AT&T  Wireless,  and  over  26 

airports in the United States and Canada. International sales experience includes securing the 

Civil Aviation Authority in the United Kingdom and, through partners, to airports across Europe. 

His  governmental  and  municipal  sales  successes  include  several  Texas  municipal  school 

districts,  Irving  Convention  Center,  and  Texas  Woman’s  University.  Mr.  Finegan  has  been 

operating on a consulting contract for Star Asset Security, a security systems integrator based in 

Orlando,  Florida,  since  February  2016.  Mr.  Finegan’s  responsibilities  have  included  serving  as 

the  Director  of  Sales  for  the  company’s  ten  offices.  Mr.  Finegan  has  also  assisted  Star  Asset 

Security in finding merger and acquisition opportunities. Mr. Finegan’s current responsibilities 

with  Star  Asset  Security  include  the  oversight  of  15  sales  personnel  and  directly  managing 

relationships with numerous vendors. 

Mr.  Titzer  is  a  committed  problem  solver  in  the  field  of  software  engineering  who  has  been 

recognized by the University of Cincinnati and Cincinnati Children’s Hospital for innovative work 

in  the  area  of  concussion  monitoring.  His  professional  expertise  spans  the  areas  of  custom 

developed  web  application,  cloud  solutions,  and  mobile  applications.   Mr.  Titzer  also  has 

experience  as  a  golf  professional  and  business  owner,  with  an  extensive  background  in 

management, sales, finance, budgeting, and customer relations. For the past 5 years, Mr. Titzer 

has  overseen  the  development  of  a  web  application  responsible  for  $14  million  in  annual

revenue  that  monitors  over  $18  billion  dollars  of  assets  globally  for  88%  of  the  Fortune  500, 

with 99.9% up‐time. Mr. Titzer has advanced engineering and development experience on the 

following platforms: Microsoft .NET, C#, Azure, T‐SQL, Salesforce.com, and Apple (Objective C 

and  Swift).  Mr.  Titzer’s  combined  engineering  and  analyst  experience  has  brought  him  the 

following professional accomplishments: 2014 University of Cincinnati Technology Expo winner 

with Safety BLITS, a mobile concussion monitoring application for iPad, Certified Salesforce.com 

developer, Cisco CCNA, and Honeywell Systems Gold.  Mr. Titzer is a Senior Cloud Programmer 

Analyst  for  Honeywell.  Recently,  Mr.  Titzer  was  promoted  to  Senior  Salesforce  Developer 

Analyst. 

In  connection  with  Mr.  Titzer  and  Mr.  Finegan’s  appointments,  the  Company  entered  into 

Advisory  Board  Agreements  dated  July  1,  2017,  whereby,  among  other  terms,  the  Company 

agreed to grant each of them 50,000 stock options at the exercise price of $0.28 per common 

share until expiry on September 1, 2022.  

Stock Option Grant 

The Company announces that it has granted 100,000 stock options to consultants (comprised of 

50,000  stock  options  to  each  of  Mr.  Titzer  and  Mr.  Finegan)  for  the  purchase  of  up  to  an 

aggregate  100,000  common  shares  of  the  Company,  pursuant  to  its  Stock  Option  Plan,  at  a 

price of $0.28 per common share. Common shares issuable upon the exercise of stock options 

held by consultants of the Company will be subject to an exchange hold period of four months 

and one day from the date of the grant of the stock options. Each option granted to consultants 

is exercisable until expiry on September 1, 2022. These stock options vest as follows: (i) 20,000 

stock options vest immediately, (ii) 20% after 1 year, 20% after 2 years, (ii) 20% after 3 years, 

(iv) and 20% after 4 years.
