Xander Resources Executes Amendment No. 1 with Troubadour
Vancouver, British Columbia / June 12, 2024 – Xander Resources Inc. (“Xander” or the “Company”)
(TSXV: XND) (FSX: 1XI) announces that further to its press release dated May 21, 2024, the Company
has executed Amendment No. 1 to the Mineral Option Agreement (the “Agreement”) dated May 21, 2024
which amends the agreement as follows:
The Company will receive 2,000,000 of the 2,500,000 shares issued by Troubadour Resources Inc.
at each of the payments scheduled to occur upon signing and at or before the 6 month anniversary
of the signing of the Agreement. An arms-length party will receive 500,000 shares, i.e., 20% of the
payment, for each of the payments. The total consideration due remains a total of 5,000,000 shares
of Troubadour Resources Inc to earn 100%.
Any share issuances contemplated under the Agreement will only be made if they will not result in
either the Company of the arms- length party owning more than 10 % of the issued shares of
Troubadour Resources Inc.
All other terms of the Agreement remain the same.
The Agreement, including the issuance of shares, remains subjec t to the approval of the TSX Venture
Exchange.
