Xander Resources Announces Effective Date for Share Consolidation
Vancouver, British Columbia / October 31 , 2024 – Xander Resources Inc. (“Xander” or the
“Company”) (TSXV: XND) (FSX: 1XI) announces that, further to its news release of June 3, 2024 and
subject to the final approval of the TSX Venture Exchange (the “Exchange”), it will effect the consolidation
(the “Consolidation”) of its common shares (the “Shares”) on the basis of one (1) new Share for every ten
(10) old Shares on or about Friday, November 8, 2024.
The Shares of the Company will begin trading on a consolidated basis at the opening of trading on or about
Friday, November 8, 2024. The new ISIN of Xander is CA9838793052and the CUSIP is 983879305.
The Company confirms that it is not proceeding with a change of name at this time.
Additionally, t he Company wishes to clarify the number of shares reserved for issuance pursuant to
restricted share units (the “RSUs”) pursuant to its omnibus plan (the “Omnibus Plan”), being a 10% rolling
option plan and 10% fixed RSU plan, which was approved by the shareholders at the shareholder meeting
held on July 12, 2024. The Company clarifies that, following the Consolidation effected by the Company
on February 8, 2024, the fixed number of common shares that are issuable and reserved for the RSUs under
the Omnibus Plan have been adjusted from 11,272,012, to 1,127,201.
As announced on June 3, 2024 and effective as of November 8, 2024, the Company is proceeding with an
additional Consolidation of its issued and outstanding common shares, which would result in the number
reserved for issuance in respect of the RSUs under the Omnibus Plan being further adjusted from 1,127,201
to 112,720. The additional Consolidation remains subject to approval of the Exchange.
