Colibri Extends Private Placement Offering
Dieppe, New Brunswick--(Newsfile Corp. - October 4, 2024) - Further to its news release of August 23,
2024, Colibri Resource Corporation (TSXV: CBI) ("Colibri" or the "Company") announces the extension
of its non-brokered private placement (the "
Offering
") of up to 9,000,000 units (the "
Units
") at a price of
CDN$0.05 per Unit to raise gross proceeds of up to CDN$450,000.
The Offering is now expected to
close on or before November 3, 2024.
Each Unit will consist of one common share in the capital of the Company (a "
Share
") and one whole
non-transferable common share purchase warrant (a "
Warrant
").
Each whole Warrant will be
exercisable to acquire one Share at an exercise price of CDN$0.075 per Share for a period of 24
months from the date of issuance.
A first tranche of the Offering closed on September 6
th
, 2024 for aggregate gross proceeds of $305,500
(see the Company's news release dated September 6, 2024).
The Common Shares and Warrants are subject to a statutory hold period expiring on the date that is four
months and one day after closing.
The Offering, including the extension, have received the conditional approval of the Exchange. Closing is
subject to the final approval of the Exchange. The net proceeds of the offering will be used for exploration
expenses at the Company's highly prospective precious metals projects in Mexico, including the Pilar
gold project and the EP gold project as well as for working capital.
