SMOOTH ROCK ANNOUNCES PRIVATE PLACEMENT

December 15, 2017 - Smooth Rock Ventures Corp. (“Smooth Rock ” or the “ Company”)

(TSX.V SOCK) announces subject to regulatory approval, it has arranged a non -brokered private

placement of up to 4,285,714 units (the “Units”, and each a “Unit”) at a price of $0. 07 per Unit to raise

aggregate proceeds of up to $300,000 (the “Private Placement”).

Each Unit shall consist of one common share (the “ Share”) a nd one Share purchase warrant (the

“Warrant”), whereby each Warrant shall be exercisable into one common share of the Company at a price

of $0.10 per common share for a period of 24 months following the date of issuance.

Proceeds of the private placement will be used for work on t he Company’s mineral properties and for

general working capital.

All securities to be issued in connection with the Private Placement shall be subject to a four -month hold

period in accordance with applicable securities legislation. Closing of the Private Placement shall be subject

to receipt of acceptance by the TSX Venture Exchange.
