Vancouver, British Columbia – November 21, 2024 – Benz Mining Corp. ( Benz or the Company)

(TSXV: BZ) (ASX: BNZ) reports that the Company has sent for mailing to its shareholders of record as

at November 12, 2024 the Notice of Meeting and Information Circular of the Company dated

November 15, 2024 (the Information Circular ) and the related forms of proxy (collectively, the

Meeting Materials) in respect of the Annual General and Special Meeting to be held on Tuesday,

December 17, 2024 at the hour of 10:00 a.m. (Perth, Western Australia time) (the Meeting).

In light of the Canada Post labour strike, the mailing or delivery of the Meeting Materials to the

shareholders may be delayed. The Meeting Materials can be accessed online under the Company’s

profile on SEDAR+ (www.sedarplus.ca) and on the Company’s website at

https://benzmining.com/investors/annual-general-meetings. Shareholders can also request copies

of the Meeting Materials and may obtain copies of the Company’s financial statements and related

MD&A by contacting the Company at [email protected] or by telephone at +61 8 6143 6702.

As a result of the Canada Post labour strike, Benz is encouraging shareholders to access the Meeting

Materials electronically as noted above. Benz also strongly encourages shareholders to vote in

advance of the Meeting by completing the form of proxy, or appointing an alternate proxyholder to

attend the Meeting in person. Please note that the form of proxy found on SEDAR+ is not

personalized and each registered shareholder must ensure its name and address are added before

submission and that the proxy is duly signed and dated.

The Meeting Materials are being distributed in connection with, among other annual general

business matters, the approval of an ordinary resolution authorizing and approving the transaction

whereby Benz will acquire the Glenburgh - Mt Egerton Gold Project, located in Western Australia,

from Spartan Resources Limited (ASX: SPR) (the Acquisition). The Acquisition was previously

announced by the Company in its news release dated November 5, 2024, and is described in detail

in the Information Circular. The Acquisition remains subject to final approval of the TSX Venture

Exchange.

NI 43-101 TECHNICAL REPORT FOR GLENBURGH – MT EGERTON GOLD PROJECT

As part of the Acquisition, the Company announces that Benz has filed a technical report titled “NI

43-101 Technical Report on the Glenburgh - Mt Egerton Gold Project, Western Australia” dated

November 18, 2024, prepared by Dr. Marat Abzalov, an independent consultant for MASSA

Geoservices, in accordance with National Instrument 43-101 – Standards of Disclosure for Mineral

Projects (NI 43-101). This technical report can be accessed online under the Company’s profile on

SEDAR+ (www.sedarplus.ca).
