PRIVATE PLACEMENT CLOSED
August 26, 2025
Bitterroot Resources Ltd. (symbol BTT, TSX-V) has closed a non -brokered private placement of
19,780,000 units consisting of;
1. 10,155,000 units priced at C$0.05, consisting of one common share and one-half common
share purchase warrant exercisable at C$0.10 for two years and,
2. 9,625,000 units priced at US$0.04, consisting of one common share and one-half common
share purchase warrant exercisable at US$0.08 for two years.
The Company may accelerate the warrant expiry date if the 20 -day volume weighted average
trading price on the TSX Venture Exchage exceeds C$0.20 per share.
The proceeds of the private placement will fund the maiden reverse circulation drilling program
(approximately 3,000 metres in 10 holes) on the Nighthawk Gold/Silver Project , near Tonopah,
NV, and for general working capital.
Finders’ fees consisting of C$13,665 plus 273,300 broker warrants priced at C$0.10 for two years
were paid in connection with th e private placement. The common shares and any additional
common shares issued pursuant to the exercise of warrants will be subject to a four -month hold
period expiring December 20, 2025 (17, 455,000 units) and December 27, 2025 (2,325,000 units).
