announces it is amending the terms of the non-brokered private
placement for the sale of: (i) a minimum of 18,000,000 units of the Company (each, a "
Unit
") at a
price of
$0.05
per Unit (the "
Offering Price
") for aggregate gross proceeds of
$900,000
; and (ii) a
maximum of 21,000,000 Units at the Offering Price for aggregate gross proceeds of
$1,050,000
(the "
Offering
"). Red Cloud Securities Inc. will be acting as a finder in connection with the Offering.
Each Unit will consist of one common share in the capital of the Company (each, a "
Common
Share
") and one transferrable Common Share purchase warrant (each, a "
Warrant
"). Each Warrant
will entitle the holder thereof to purchase one additional Common Share (each, a "
Warrant Share
")
at an exercise price of
$0.05
per Warrant Share for a period of four (4) years following the issue
date of the Unit.
