Barksdale Announces Closing of Crescat

Private Placement

Vancouver, British Columbia--(Newsfile Corp. - March 19, 2026) -

Barksdale Resources

Corp.

(TSXV: BRO) (OTCQB: BRKCF) (FSE: 2NZ) ("

Barksdale

" or the "

Company

") is pleased to

announce the closing of its private placement with Crescat Capital LLC ("

Crescat

"), a strategic investor

in Barksdale, consisting of 8,478,049 common share units in the capital of the Company (the "

Units

")

which were priced at $0.09 per Unit for gross proceeds of $763,024.41 (the "

Offering

").

Each Unit comprised one common share of the Company and one-half of one common share purchase

warrant (each whole common share purchase warrant, a "

Warrant

"). Each Warrant entitles the holder

thereof to purchase one common share of the Company at an exercise price of $0.15 for a period of two

(2) years. No finder's fee was payable in connection with the Offering.

The Offering was initially announced by the Company in a

news release

on March 10, 2026. All

securities issued or issuable in connection with the Offering are subject to a statutory hold period

expiring four months and one day from the date of issuance. Use of proceeds includes funding for on-

going corporate expenses.

Crescat's participation in the Offering constituted a "related party transaction" as defined under

Multilateral Instrument 61-101

Protection of Minority Security Holders in Special Transactions

("

MI 61-

101

"). Such participation is exempt from the formal valuation and minority shareholder approval

requirements of MI 61-101 as neither the fair market value of the securities acquired by the insiders, nor

the consideration for the securities paid by such insiders, exceeded 25% of the Company's market

capitalization.
