Bold Ventures Closes $604,200 Non-Brokered
Flow-Through Private Placement
Toronto, Ontario--(Newsfile Corp. - April 2, 2026) - Bold Ventures Inc. (TSXV: BOL) (the "
Company
" or
"
Bold
") is pleased to announce the closing of a non-brokered private placement offering of the
Company for 5,035,000 Flow Through Shares (the "FT Shares") at a price of $0.12 per FT Share (the
"
Offering
"). The Offering was fully subscribed for gross proceeds of $604,200.
The Company paid a cash finder's fee of $48,336 to an eligible finder and issued 402,800
compensation warrants (the "
Compensation Warrants
") to an eligible finder. Each Compensation
Warrant entitles the holder to acquire one common share of the Company at $0.12 until April 1, 2028.
All securities issued pursuant to the Offering are subject to a hold period expiring on August 2, 2026.
The Offering
The gross proceeds from the Offering will be used for Canadian Exploration Expenses (within the
meaning of the Income Tax Act (Canada) (the "
Tax Act
")) which qualify as a "flow-through critical mineral
mining expenditure" for purposes of the Tax Act related to the exploration program of the Company to be
conducted on the Company's properties located in Ontario and Quebec, with $504,000 allocated to the
Company's properties in Ontario and $100,200 allocated to the Company's property in Quebec. The
Company will renounce such Canadian Exploration Expenses with an effective date of no later than
December 31, 2026.
