1329300 B.C. LTD. ENTERS INTO AMALGAMATION AGREEMENT

Vancouver, British Columbia – March 1, 2024 – 1329300 B.C. Ltd. (the “Company”) is pleased to

announce that, further to its press release s of February 6, 2024 and February 26, 2024, it has entered into

an amalgamation agreement dated March 1, 2024 (the “Amalgamation Agreement”) with Borealis Mining

Company Limited (“Borealis”) and 1000693081 Ontario Ltd. (“Subco”), a wholly-owned subsidiary of the

Company, in connection with its arrangement agreement dated February 6, 2024, with the Company,

Borealis and Subco, whereby, in order to facilitate the arrangement, Borealis and Subco will amalgamate

upon the terms and conditions of the Amalgamation Agreement.

Completion of the Arrangement is subject to necessary regulatory approvals, court or governmental approvals, authorizations and

consents and approval of the shareholders of the Company and Borealis (as applicable). Where applicable, the Arrangement
