Battery Mineral Resources Corp. Announces Non-Brokered Private Placement

Vancouver, British Columbia – (January 7, 2026) – Battery Mineral Resources Corp. (TSXV:

BMR) (OTCQB: BTRMF) (“Battery” or “BMR” or the “Company”) is pleased to announce that it

intends to complete a non -brokered private placement of 174,430,850 common shares of

the Company (“Common Shares”) at a price of C$0.20 (USD$0.145) per Common Share for

aggregate gross proceeds of approximately $ 34,886,170 (USD$25,300,000) (the “Private

Placement”).

The net proceeds of the Private Placement will be used by the Company for general working

capital purposes.

Completion of the Private Placement is subject to receipt of all necessary regulatory approvals,

including acceptance by the TSX Venture Exchange. All securities issued in connection with

the Private Placement will be subject to a four-month hold period from the date of issuance in

accordance with applicable Canadian securities laws, in addition to such other restrictions as

may apply under applicable securities laws of jurisdictions outside Canada. No finder’s fees

are payable in connection with the Private Placement.
