to its press release dated September 10, 2021 regarding the warrant exercise price issued in
connection with a non-brokered private placement (the "
Private Placement
").
Each Unit consists of a common share (each a "
Share
") in the capital of the Company and one
transferable common share purchase warrant (a "
Warrant"
). Each Warrant entitles the holder to
purchase one additional Share of the Company (a "
Warrant Share
") at a price of
$0.30
per Warrant
Share for a period of one year, subject to an accelerated expiry provision.
The Units, Shares and Warrant Shares will be subject to applicable resale restrictions, including a
four month hold period from date of closing of the Private Placement under applicable Canadian
securities laws. Completion of the Private Placement is subject to regulatory approval, including
approval of the TSX Venture Exchange.
The Company will use the proceeds from the Private Placement to fund the

annual renewal fees of the Company's BLM (Bureau of Land Management) mineral claims located in
Pennington and Lawrence Counties and general administrative expenses.
