Under the LIFE Offering, the Common Shares were offered for sale by way of private placement pursuant
to the listed issuer financing exemption under section 5A.2 of National Instrument 45- 106 – Prospectus
Exemptions (“NI 45-106”), as modified by Coordinated Blanket Order 45-935 – Exemptions from Certain
Conditions of the Listed Issuer Financing Exemption (the “Listed Issuer Financing Exemption”) in each

in reliance on Sections 5.5(a) and 5.7(1)(a) of MI 61- 101 as the fair market value of the related party
participation did not exceed 25% of the Company’s market capitalization. A material change report in
connection with the Offering was filed less than 21 days in advance of the closing of the Offering, which
the Company deemed reasonable in the circumstances so as to be able to avail itself of potential
