BAYHORSE CLOSES FINAL TRANCHE OF NON-BROKERED PRIVATE PLACEMENT

Bayhorse Silver Inc., (“Bayhorse” or the “Company”) BHS: TSX -V, announces that, subject to final

TSX-V Exchange approval, the Company has closed the final tranche of 850,000 Units, for gross

proceeds of $ 85,000.00, of its previously announced non -brokered private placement for up to

7,500,000 Units at $0.10 per Unit.

Each C$0.10 Unit consists of one (1) common share and one (1) transferable common share purchase

warrant, with each warrant exercisable into one (1) common share of the Company at an exercise price

of $0.15 cents, exercisable for a period of 24 months from the date of issuance.

The funds raised are for the purpose of optimizing the silver recovery from the upgrading, processing

and refining of silver mineralization delivered to Mineral Solutions LLC, of Coeur d Alene, Idaho,

(BHS2019-08) from the Bayhorse Silver Mine, as well as for general and administrative costs.

The securities distributed under the final tranche are subject to a four month hold expiring on August

16, 2019.

A finder’s fee of $1,400 and 14,000 finder’s warrants on the same terms as the private placement

warrants was paid on a portion of the private placement.
