BELL COPPER CLOSES UNIT FINANCING
Vancouver, British Columbia Bell Copper Corporation (“Bell Copper” or the
“Company”) (TSX-V: BCU) Further to its March 8, 2019 and May 7, 2019 news releases,
Bell Copper announces that it has filed documents with the TSX Venture Exchange (the
“Exchange”) seeking final approval of its non-brokered private placement of units (the
“Units”) at a price of ten cents ($0.10) per Unit for gross proceeds of $85,125.00.
On receipt of regulatory approval Bell will issue 851,250 Units, each Unit being comprised of
one common share in the capital of the Company and one common share purchase warrant,
with each warrant entitling the holder to purchase an additional common share of the
Company at a price of twenty cents ($0.20) per share at any time within 12 months of the
date of issuance, subject to the right of the Company to accelerate the exercise period of
the Warrants if common shares of the Company trade at or above $0.50 for ten (10)
consecutive trading days. All securities to be issued under this private placement will be
subject to a four-month resale restriction.
The proceeds of the private placement will be allocated towards acquiring new prospective
copper projects in North America as well as for general working capital purposes.
