Bell Copper Company

Bell Copper Announces Warrant Extension

VANCOUVER, B.C. - Bell Copper Corporation (TSX.V: BCU) (OTCQB: BCUFF) (“Bell Copper ” or the

“Company”) announces that it proposes to extend by an additional twelve (12) months, the expiry date

of 2,868,550 share purchase warrants, originally issued January 30, 2024 (the “Warrants”) in connection

with a non-brokered private placement. These Warrants are exercisable into 2,868,550 common shares

same. The application to extend the expiry date s on the Warrants is subject to the acceptance of the

A total of 50,000 Warrants are held by an insider of the C ompany, who is considered to be a “related

party” of the Company. Therefore, the amendment of the Warrants constitutes a “ related party

transaction” as defined under Multilateral Instrument 61 -101 Protection of Minority Security Holders in

minority shareholder approval requirements of MI 61 -101 contained in sections 5.5(a) and 5.7(1)(a) of

MI 61 -101, as the fair market value of the Warrants held by the insider does not exceed 25% of the

Company's market capitalization.
